Therefore, we cannot guarantee specific #1 rankings, exact placement timelines, or specific revenue increases.
3. Client Responsibilities
To ensure the success of any SEO campaign, collaboration is key. As our client, you agree to:
- Provide timely access to necessary accounts, websites, analytics dashboards, and Google Business Profile logins.
- Ensure that all business information, addresses, phone numbers, and operational details provided for optimization are accurate and legally compliant.
- Review and approve deliverables or recommendations in a timely manner to prevent campaign delays.
4. Payments, Fees, and Refunds
- Invoicing: Payment terms for retainer services, audits, or project-based work will be specified in your individual invoice or service agreement.
- Late Payments: Failure to clear invoices by the due date may result in a temporary suspension of active optimization work until the account balance is settled.
- Refund Policy: Because SEO consulting involves immediate allocation of professional labor, strategic planning, and audit resources, all fees, retainers, and deposits are strictly non-refundable once work has commenced, unless otherwise agreed upon in writing.
5. Intellectual Property Rights
- Our Work: All original frameworks, proprietary audit templates, strategies, code, and content created by us remain our intellectual property until full payment for the respective project or retainer has been received.
- Your Assets: You retain full ownership of your website, domain name, Google Business Profile, and brand assets. You grant us a limited, non-exclusive license to use these assets solely for the purpose of executing the agreed-upon local SEO services.
6. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, revenue, or business interruption—arising out of or in connection with your use of our website or services, even if we have been advised of the possibility of such damages.

- By Client: You may terminate ongoing monthly retainer services by providing written notice (typically 30 days in advance) as outlined in your specific agreement.
- By Us: We reserve the right to suspend or terminate services immediately if a client breaches these Terms, engages in abusive communication, or requests unethical “black-hat” SEO tactics that violate search engine guidelines.
